We have decades of experience advising businesses, and the people who build them.

We are business lawyers. Our practice includes corporate, securities and contract law, on behalf of clients throughout the country, in Asia and Europe, on projects both in the United States and abroad.

Over the years, we have worked with businesses large and small, in a diverse range of fields.  We’ve represented a textbook publisher, a mushroom grower, a bicycle helmet manufacturer, a punk rock record label, and a variety of restaurants and food service clients.

Our center of gravity has been new companies and rapidly-growing businesses, and the VC and private investors who fund them. Most of our high-tech clients have been in IT or healthcare (including biotech, drug development and medical devices), and most of our investor clients have made most of their investments in the same fields.

We began representing clients in the academic world years ago, initially on the university side, and more recently professors and researchers moving from one institution to another.

We are regularly involved in buying and selling businesses, and in corporate finance. We have assisted a number of clients in strategic acquisition programs, and in combining, selling or reshaping businesses in order to increase owners' value.

We have substantial experience in licensing intellectual property, both for software, biotechnology and other scientific matters, and for other commercial rights such as artistic works and trade names.

We regularly represent clients based in the United States in their dealings with business partners outside the United States, especially in China and Taiwan.

We are general business lawyers.

We have broad experiece in corporate law and contracts, finance, staffing and incentive issues, intellectual property and governance.

For clients in a variety of situations, we help with managing complex changes, such as generational changes in business ownership, the management of lawsuits and other disputes, and diverging plans between business partners or among the owners of family businesses.

For some clients, we work on an isolated project. For others, we operate like outside general counsel.

As general business counsel to operating clients, we regularly handle day-to-day issues such as executive compensation, product distribution, real estate and equipment leasing, and workplace regulation.

Like in-house counsel, we have a lot of experience helping our clients identify lawyers to handle issues that require special expertise, or are simply outside our own area of competence, or require being somewhere we aren’t. And then, frequently, managing the work of other counsel on behalf of our mutual client.

We think clients are entitled to both excellence and cost-effectiveness.

We hold ourselves, and other lawyers we bring into the representation of our clients, to a high standard of quality and competence. And we like to be paid a fair wage for our work. But our experience is that it is possible to find excellent legal counsel at a fair cost, and we take seriously our responsibility to deliver our clients excellence at a cost-effective price.
